Job Summary

We are seeking a highly experienced Group Corporate Governance Manager to lead the corporate governance function, ensuring compliance with legal, regulatory, and financial requirements while upholding high standards of governance across the organization. Reporting to the Group Legal Director, the role involves managing corporate governance frameworks, advising on regulatory matters, and supporting the Board of Directors in strategic decision-making.

Roles & Responsibilities

Corporate Governance Leadership
Responsible for developing and implementing corporate governance frameworks, policies, and best practice procedures. This includes establishing policies and frameworks to ensure compliance with applicable Anti-Money Laundering (AML) laws and antifraud regulations. It also involves ensuring compliance with all relevant laws, regulations, and corporate governance codes. Regular audits and internal reviews are undertaken to monitor and maintain regulatory compliance. Additionally, this role includes staying up-to-date with legislative and regulatory changes, advising on necessary actions to adapt to these developments.

Advisory and Strategic Support
Provide expert legal and governance advice to the Board of Directors and senior management. Serve as the primary liaison with external regulators, legal advisors, auditors, and corporate service agents, ensuring effective communication and alignment with the organization's governance needs.

Board and Committee Management
Manage statutory records, including registers of shareholders, directors, and secretaries. Ensure the maintenance and proper organization of databases related to corporate governance, contributing to accurate and efficient management of corporate affairs.

Corporate Record Maintenance
Provide leadership and training to staff involved in governance and legal support, fostering a culture of continuous improvement in governance practices. This includes overseeing training and knowledge sharing initiatives. Additionally, this role ensures the accurate maintenance of the register of shareholders and the record of share ownership, including the register of charges.
